Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sparkworks Academy LLC's software platform, field tools, training materials, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Sparkworks Academy provides a software-as-a-service (SaaS) platform designed to assist licensed electrical contractors and their employees with field reference tools including material list generation, NEC code reference, generator sizing calculations, and sales training materials.

The Service is intended solely for use by licensed electrical professionals and their authorized employees. You represent that you hold the appropriate licenses required by your jurisdiction to perform electrical work.

2. Subscription and Billing

Access to the Service requires a paid subscription. Subscriptions are priced at $129/month for the platform plus $29/month per additional technician user. The base price includes 1 tech seat. All subscriptions include a 3-day free trial period. By providing payment information at signup, you authorize Sparkworks Academy to charge your payment method automatically at the end of the trial period and on each subsequent billing cycle.

• Subscriptions auto-renew monthly unless cancelled
• Cancellations take effect at the end of the current billing period
• No refunds are issued for partial billing periods
• Prices may change with 30 days written notice
• You are responsible for all taxes applicable to your subscription

3. Disclaimer of Warranties — Critical Notice

Specifically, and without limitation:

• NEC Code AI: Responses generated by the AI code reference tool are for informational purposes only and do not constitute professional engineering or legal advice. NEC codes vary by jurisdiction and edition. Always verify code requirements with your local Authority Having Jurisdiction (AHJ) before performing work. Sparkworks Academy makes no representation that AI-generated responses are accurate, complete, or current.
• Material Lists: Material quantities and pricing estimates generated by the tool are approximations based on typical conditions. Actual quantities, specifications, and prices will vary by job, location, and supplier. Always verify quantities on-site and confirm pricing with your supplier before purchasing materials. Sparkworks Academy is not responsible for over-orders, under-orders, or pricing discrepancies.
• Generator Sizing: Generator sizing calculations are estimates based on typical residential loads. Actual electrical loads vary significantly. Always verify sizing with a licensed electrician and consult with the generator manufacturer before purchase. Sparkworks Academy is not responsible for undersized or oversized generator installations.
• Sales Training: Training materials are provided for educational purposes. Results will vary. Sparkworks Academy makes no guarantee of any specific revenue outcomes from use of training materials.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Sparkworks Academy LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Failed electrical inspections resulting from reliance on NEC AI responses
• Property damage or personal injury arising from electrical work performed
• Financial loss from incorrect material quantities or pricing estimates
• Generator failures or damage from incorrect sizing calculations
• Loss of business or revenue
• Data loss or unauthorized access to your account

In no event shall Sparkworks Academy's total liability to you exceed the amount paid by you for the Service in the twelve (12) months immediately preceding the claim.

5. Your Responsibilities

• You are responsible for ensuring all work performed using information from this Service complies with applicable federal, state, and local laws, codes, and regulations
• You are responsible for obtaining all required permits before performing electrical work
• You are responsible for maintaining the security of your account credentials
• You may not share your account with unlicensed individuals for the purpose of performing electrical work
• You may not reverse engineer, copy, or resell any portion of the Service

6. Intellectual Property

All content, tools, training materials, algorithms, pricing data, and software comprising the Service are the exclusive property of Sparkworks Academy LLC and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription period.

"Sparkworks Academy" and the Sparkworks Academy logo are trademarks of Sparkworks Academy LLC. You may not use these marks without prior written permission.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Termination

Sparkworks Academy reserves the right to suspend or terminate your account at any time for violation of these Terms. You may terminate your account at any time by contacting support. Upon termination, your right to access the Service ceases immediately.

9. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in St. Louis County, Missouri.

10. Changes to Terms

Sparkworks Academy reserves the right to modify these Terms at any time. Material changes will be communicated via email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
